AI-Generated Image License Agreement

This AI-Generated Image License Agreement (the "Agreement") is entered into between [Licensee], hereinafter referred to as the "Licensee," and [Licensor], hereinafter referred to as the "Licensor," concerning the use of the AI-generated image described below. By accessing, downloading, or using the AI-generated image, the Licensee agrees to be bound by the terms and conditions of this Agreement.

1. License Grant: Licensor hereby grants the Licensee a non-exclusive, non-transferable, and limited license to use the AI-generated image for personal or commercial purposes, subject to the terms and conditions of this Agreement. The Licensee may use the AI-generated image in digital or print form, including websites, social media, marketing materials, advertisements, and other creative projects.

2. Copyright and Ownership: The Licensee acknowledges and agrees that the AI-generated image is a result of artificial intelligence and is the intellectual property of the Licensor. The Licensor retains all rights, title, and interest in and to the AI-generated image, including any derivative works or modifications thereof. The Licensee shall not claim any ownership or copyright over the AI-generated image.

3. Prohibited Uses: The Licensee shall not use the AI-generated image in any manner that is illegal, defamatory, obscene, or violates any third-party rights, including copyrights, trademarks, or privacy. The AI-generated image may not be resold, sublicensed, distributed, or made available for download by third parties without the express written consent of the Licensor.

4. Indemnification and Liability: The Licensee agrees to indemnify, defend, and hold harmless the Licensor from and against any claims, damages, liabilities, losses, and expenses arising out of or related to the Licensee's use of the AI-generated image. The Licensor makes no warranties, express or implied, regarding the AI-generated image's fitness for a particular purpose or its non-infringement of third-party rights.

This Agreement constitutes the entire understanding between the parties concerning the AI-generated image and supersedes all prior negotiations, representations, or agreements, whether written or oral. Any modifications to this Agreement shall be communicated to the user in writing and with clear notice of the revised terms and conditions, ensuring their informed consent and understanding of the changes. If any provision of this Agreement is found to be invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect. 

This AI-generated image can be used legally due to the absence of originality and human authorship, under 17 U.S.C. § 102(a). Since AI-generated images lack the requisite human creativity and are products of automated algorithms, they do not satisfy the threshold of copyrightable subject matter. Consequently, users may exploit these images without infringing on copyright laws, provided they adhere to applicable regulations and licensing terms.
